Territory Rights — Terms & Conditions

These Territory Terms govern the purchase and use of Territory Rights on Techs.Solar ("the Platform"). They apply in addition to the general Installer Terms of Service. In the event of conflict, these Territory Terms prevail for territory-specific matters. All prices are in EUR.

1. What Are Territory Rights

Territory Rights give a subscribing installer priority placement in homeowner search results for a defined Local Administrative Unit (LAU). The following tiers are available:

  • Exclusive — maximum one per LAU. The Exclusive holder's profile is floated to position 1 in all homeowner searches within that LAU.
  • Claim — up to three per LAU. Claim holders are floated above organic (non-territory) results and above Verified Local holders, ranked by profile completeness within the Claim group.
  • Verified Local — a free entitlement for paid-tier installers whose registered business address falls within the LAU. Ranked above organic results but below paid Claim holders. Not purchasable — activated automatically.
  • Founding Member — available during the launch period only. Density-scaled (proportional to LAU population and density per country administration settings; minimum 1, maximum 7 per LAU). The exact slot count for your LAU is shown on the Territory map. Founding Members count as Claim holders for search-ranking purposes. In addition to Claim-tier placement, Founding Members receive: (a) an annual price of €149/yr locked for a minimum of three (3) years, regardless of any pricing changes under §4; (b) a permanent Founding Member badge on the profile; and (c) LAU-for-life entitlement — after the three-year initial term, your subscription renews at the then-current standard plan price (e.g. Early Bird or Standard tier). Your Founding LAU coverage continues to be included in your subscription at no additional charge for life, and the slot remains reserved for the Founding Member for as long as their subscription remains active. Additional LAUs beyond your Founding LAU are subject to standard Claim or Exclusive tier pricing at the time of purchase.

2. Billing and Subscriptions

Claim tier — billed monthly. The applicable price is displayed at the time of purchase and confirmed in the Stripe checkout session. Subscriptions auto-renew on the same day each month until cancelled.

Exclusive tier — has a minimum initial term of six (6) months. After the six-month period the subscription auto-renews monthly. Cancellation requests submitted during the initial six-month term take effect at the end of the six-month term, not at the end of the current calendar month.

Founding Member tier — billed annually at €149/yr excl. VAT. Price locked for the initial three-year term as described in §1. After year three, your subscription auto-renews at the then-current standard plan price. Your Founding LAU coverage continues to be included in your subscription at no additional charge for life — see §1.

VAT is applied where required by applicable law. B2B subscribers established in EU member states other than Greece may be subject to the reverse-charge mechanism under EU VAT Directive 2006/112/EC Article 196.

You may cancel at any time from your Territory dashboard or by contacting support. Cancellation takes effect at the end of the current billing period — no further charges are made. The territory slot is held through the end of the paid billing period and released at the start of the next billing cycle.

3. Changes That Require No Notice

The Platform may update the following at any time without prior notice:

  • Cosmetic UI elements (colours, icons, button labels, card layouts)
  • Copy improvements that do not alter the substance of a badge or tier description
  • Addition of new features or map layers that do not affect existing tier ranking
  • Bug fixes and performance improvements

4. Material Change Framework

A material change is any modification that affects: (a) price, (b) slot count per LAU, (c) tier rules, (d) badge wording or visibility, or (e) the above-fold ranking algorithm. Material changes are subject to the notice tiers below. The Founding Member three-year price lock is not subject to §4 pricing-change notice — it is an absolute contractual commitment for the initial term.

5. How We Communicate Material Changes

For every material change we will, in the language of the affected installer's account locale:

  • Email all affected installers with a summary, before/after diff, and effective date
  • Display a persistent dashboard banner (non-dismissable until acknowledged) on next login
  • Publish a timestamped entry in the Territory Changelog
  • Show an in-product modal on the Territory page for 30 days following the change

6. Your Right to Cancel and Pro-Rata Refunds

You may cancel any territory subscription at any time, for any reason, without question. If a material change has been announced and you cancel within the applicable notice window, you are entitled to a pro-rata refund calculated as follows:

Refund = full price of current billing period (EUR) × days remaining ÷ total days in billing period. "Days remaining" means the number of calendar days from and excluding the cancellation date to and including the last day of the current billing period. The cancellation date is the calendar date in Athens local time (Europe/Athens) on which the cancellation is submitted via the dashboard or received by support — whichever is earlier.

Refunds are processed via the original payment method within 5 business days. Where the original payment method is unavailable (closed card, expired account), the refund is issued as account credit applied to the next subscription period or paid out by bank transfer on request.

7. No Retroactive Changes

No material change will be applied retroactively to active subscriptions. All changes take effect only from the date specified in the change notice, and only for billing periods commencing after that date. Existing subscriptions are grandfathered as described in §4.

8. Governing Law

These Terms are governed by the laws of the Hellenic Republic. Disputes are subject to the exclusive jurisdiction of the competent courts of Athens, Greece, pursuant to Article 25 of Regulation (EU) No 1215/2012 (Brussels Ia). Choice of law is made under Article 3 of Regulation (EC) No 593/2008 (Rome I). These Terms apply solely to professional installers acting in the course of their trade or business. Subscribers warrant that they enter this agreement for business purposes and that the consumer protection provisions of Greek Law 2251/1994 do not apply. Installers uncertain about their commercial status should contact support before subscribing.

9. General Provisions

  • Limitation of liability. To the maximum extent permitted by applicable law, Techs.Solar's total liability under these Terms is limited to the total fees paid by the subscriber in the twelve (12) months preceding the claim.
  • Force majeure. Neither party is liable for delays or failures caused by events outside their reasonable control, including natural disasters, government actions, strikes, or infrastructure failures.
  • Entire agreement. These Territory Terms, together with the Installer Terms of Service and Privacy Policy, constitute the entire agreement between the parties regarding territory subscriptions and supersede all prior representations, communications, or agreements on the subject.
  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force.
  • Notice. Notices from Techs.Solar to a subscriber are deemed delivered when sent to the email address registered to the account. Notices to Techs.Solar must be submitted via our contact form.
  • Non-assignment. Territory subscriptions are tied to the subscribing installer's business identity and may not be transferred or assigned to another entity without prior written consent from Techs.Solar.

10. Data Protection

Personal data processed in connection with these Terms is handled in accordance with our Privacy Policy. By subscribing to a Territory Right, you acknowledge that:

  • Your business name, registered LAU, contact details, and tier status are visible to homeowners as part of the search ranking your subscription enables.
  • Subscription billing data is processed by Stripe Payments Europe Limited (Ireland) under their own Privacy Policy. Stripe is our data processor for payment purposes; we remain the data controller for your account and subscription data.
  • Where you receive homeowner contact details through the Platform, you act as an independent data controller for that data and are solely responsible for compliance with GDPR Articles 13/14 notification obligations to those homeowners.
  • Territory subscription records are retained for seven (7) years from the end of the subscription period for tax and audit purposes under Greek tax law (Νόμος 4174/2013).
  • You may exercise your GDPR rights (access, rectification, erasure, portability, restriction, objection) at any time via our contact form. Erasure of active subscription records may not be possible during ongoing billing or the audit retention period. You may also lodge a complaint with the Hellenic Data Protection Authority (HDPA — www.dpa.gr).
